Reputable Corporate Services/Fund Admin Business
Salary: £45,000
I'm working with the Corporate Services arm of a leading fund administration business, who are experiencing serious growth due to popular demand in their products. Their growth in the already well established Co-Sec function is focusing on bringing in a capable Company Secretary at Senior Officer level.
About you:
- ICSA qualified or part-qualified
- Experience in commensurate corporate structures
- Experienced in suing Blueprint/Diligent software
- Good team player; can motivate and delegate
- Good eye for detail and organise
- A good communicator able to manage project and large work loads
About the role:
- You will look after the day to day requirements of a portfolio of clients, including business in the real estate and private equity sector. You will be the main point of contact for company secretarial needs of these businesses
- Looking after typical co-sec transactions, including; incorporation, share allotment, capital reduction, change of directors, strike off, amendment of articles of association, buy back, power of attorney, loan notes
- include preparation and/or review of the necessary corporate approvals, Companies House filings, statutory registers
- training and delegating to junior members of the team
- participating in board meetings and ensuring the minuets are appropriately written and distributed
- preparing board packs for shareholders participating in meetings
- Maintenance of statutory records for entities and ensuring annual and ad-hoc filing requirements are met
- Regularly reviewing business entities records, crying out "health-checks"
- Working collaboratively with the accounting sub-team of the corporate services business
- Assisting with on boarding new clients
- Remaining up to date with legislation and regulatory change and taking action where appropriate
