Corporate Governance Manager

My client, a multinational professional services firm, are currently recruiting a Corporate Governance Manager to join their Risk Advisory team.

The ideal candidate will work in a range of corporate governance services both in the public and private sector, across all industries. You will be part of a team that has a reputation for delivering high-quality, insightful advice and the ability to see past structures and processes into how people and culture operate.

Responsibilities

  • Supporting clients with the design, review and implementation of governance frameworks (to include processes, policies and procedures)

  • IPO readiness and post IPO governance support

  • Conducting independent Board and committee effectiveness reviews, and individual director assessments

  • Undertaking Board skills audits and developing Board succession plans

  • Corporate governance compliance assessments

  • Delivering training and development support to Boards, committees and individual directors and advising them on the latest corporate governance developments, obligations and requirements

  • Undertaking company secretariat function reviews

  • Supporting Internal Audit, Risk and Compliance effectiveness reviews and benchmarking against industry practices

  • Development of thought leadership publications and points of view on governance

Key Requirements

  • Minimum 5+ years governance or company secretarial experience

  • Exam qualified or part-qualified in ICSA, ACA, ACCA, ACOI or a corporate governance qualification

  • Previous experience in working with Boards, Board Committees and Non-Executive Directors

  • Extensive knowledge of corporate governance codes and guidance such as the UK Code of Corporate Governance, EBA Guidelines on Internal Governance, Central Bank of Ireland Corporate Governance Requirements etc.
