Company Secretary (Listed Company) - Corporate Services

Reputable Corporate Services/Fund Admin Business

Salary £50,000 p/a

 

I'm working with the Corporate Services arm of a leading fund administration business, who are experiencing serious growth due to popular demand in their products. Their growth in the already well established Co-Sec function is focusing on bringing in a capable Company Secretary with experience of working within listed entities at Senior Officer level.

 

 

About you;

  • ICSA qualified or part-qualified
  • Experience in commensurate corporate structure within listed businesses
  • Comfortable with senior stakeholder communication
  • Understanding of other areas such as; tax, accounting, regulatory and AML requirements
  • Experienced in suing Blueprint/Diligent software
  • Strong board transactional skills
  • Good team player; can motivate and delegate
  • Good eye for detail and organise
  • A good communicator able to manage project and large work loads

 

 

About the role;

  • Over seeing day to day company secretarial duties for the listed entities in the portfolio. Including; incorporation, share allotment, capital reduction, change of directors, strike off, amendment of articles of association, buy back, power of attorney, loan notes
  • To approve the necessary corporate approvals; Companies House filings, statutory registers updates etc.
  • Working with the immediate team to advise and assist on company secretarial transactions within listed businesses.
  • Assisting with on boarding new clients and understanding complex internal structures
  • Monitoring of KYC, client due diligence an promoter/corporate files
  • Delivering operation process to clients in a timely manner and to the highest quality
  • Acting as an go between for board members, shareholders, third party intermediaries such as banks, lawyers, accountants; tax advisors; stock exchange etc
  • Advising on best practice on board support services including enhanced governance for listed companies
  • Meeting all filing requirements for listed entities
  • Monitoring changes in regulation and legislation and taking appropriate action
